These Terms and Conditions of Use govern the access to and use of Wilki.ai, a platform operated by CV Software ("Wilki", "we", "us", "our platform"), by its customers, users, and authorized organizations.
Wilki is a technology platform that enables the integration, consolidation, processing, analysis, and visualization of data from different sources authorized by the customer, with the purpose of generating reports, alerts, indicators, analyses, recommendations, automations, and actionable insights.
By contracting, accessing, configuring, or using Wilki, the customer and its users accept these Terms and Conditions, Wilki's Privacy and Data Processing Policy, and any applicable contract, service order, annex, commercial proposal, or specific agreement.
1. Acceptance of the terms
By contracting, accessing, configuring, or using Wilki, the customer represents that it has read, understood, and accepted these Terms and Conditions.
If the customer does not accept these terms, the customer must not use the platform or authorize data integrations.
2. Description of the service
Wilki is a technology platform that enables the integration, consolidation, processing, analysis, and visualization of data from different sources authorized by the customer.
Among other features, Wilki may offer:
- Connectors with external platforms.
- Data reading through APIs, files, databases, or other mechanisms.
- Storage of data copies.
- Processing, normalization, and transformation of information.
- Dashboards, reports, and indicators.
- Alerts, notifications, and anomaly detection.
- Integration between different data sources.
- Analysis, artificial intelligence, and automated assistance tools.
- APIs, connectors, or endpoints for querying authorized data.
The features available will depend on the contracted plan, enabled integrations, the customer's configuration, and the technical availability of the data sources.
3. Authorization to access and process data
The customer expressly authorizes Wilki to access, read, copy, store, process, transform, analyze, and use data from the sources that the customer connects, uploads, provides, or enables.
This authorization is granted exclusively for the provision of the contracted services and for the purposes described in Wilki's Privacy and Data Processing Policy.
The customer understands and accepts that Wilki requires access to and storage of data in order to operate correctly. Without access to sufficient data, Wilki will not be able to generate reports, analyses, alerts, artificial intelligence outputs, recommendations, or useful results.
4. Read-only scope
Unless expressly agreed otherwise, Wilki operates on the customer's data sources in read-only mode.
Wilki does not modify the original data existing in the connected platforms. Any modification, correction, deletion, or update of data in source systems must be carried out directly in those systems by the customer or its corresponding providers.
Wilki does not require administrative credentials, write permissions, modification permissions, deletion permissions, or access that allows alteration of the customer's source data. The purpose of the credentials provided to Wilki is to allow reading, extraction, and retrieval of data for subsequent storage, processing, and analysis within the Wilki platform.
5. Credentials, roles, and permissions provided by the customer
The customer is responsible for generating, configuring, managing, and providing Wilki with the credentials, tokens, API keys, technical users, permissions, or access mechanisms needed to connect the authorized data sources.
CV Software and the Wilki platform strongly recommend that such credentials be configured under the principle of least privilege and, whenever the external platform allows it, with read-only permissions.
It is the customer's sole responsibility to define the type of role, scope, permissions, and level of access associated with the credentials that it provides or enables for Wilki. If the customer provides credentials with permissions beyond what is necessary, including administrative, modification, write, or deletion permissions, that will be the customer's responsibility.
The customer is responsible for keeping those credentials secure, valid, traceable, updated, and correctly configured. The customer must also revoke, modify, or replace them when appropriate, especially in the event of suspected loss, leakage, misuse, expiration, or security compromise.
Wilki will seek to protect integration credentials through reasonable security measures and restrict internal access to persons or systems that reasonably require them to operate the integration.
6. Customer responsibilities
The customer is responsible for:
- The truthfulness, quality, integrity, legality, and sufficiency of the data provided or connected.
- Having the necessary authorizations to allow Wilki to access and process the data.
- Managing its users, roles, permissions, and internal access.
- Keeping its Wilki access credentials confidential.
- Generating, configuring, and providing secure credentials, preferably read-only, for connected external platforms.
- Properly configuring integrations and permissions in third-party platforms.
- Reviewing and validating the results, reports, alerts, or recommendations generated by Wilki.
- Making business decisions under its own judgment and responsibility.
- Complying with the laws and regulations applicable to its industry, operation, data, and users.
7. Wilki responsibilities
Wilki is responsible for providing the service in accordance with reasonable standards of technical and professional diligence, subject to the limitations inherent to technology services, cloud infrastructure, external platforms, and third-party integrations.
Wilki will seek to:
- Keep the platform reasonably available.
- Implement reasonable security measures.
- Process data in accordance with the customer's authorizations.
- Not modify source data, unless expressly authorized.
- Not share customer data with third parties outside the permitted cases.
- Provide support according to the applicable plan or contract.
- Correct errors or incidents within reasonable timeframes according to their nature and severity.
8. Third-party platforms
Wilki may depend on third-party platforms, APIs, services, providers, systems, credentials, permissions, or infrastructure.
The customer acknowledges that Wilki does not control such external platforms and that they may:
- Change their APIs, formats, limits, or conditions.
- Suspend, restrict, or remove access.
- Experience outages, errors, delays, or inconsistencies.
- Modify their authentication or security policies.
- Limit the volume, frequency, or type of data available.
- Modernize, replace, or remove features relevant to the integration.
- Modify interfaces, access flows, data structures, or query methods.
Wilki will not be responsible for failures, changes, restrictions, unavailability, blocks, errors, modernizations, technical modifications, or commercial decisions originating in third-party platforms, although it will seek to adapt its integrations when reasonably possible and within the contracted scope.
The customer acknowledges that access to data from external platforms depends largely on the availability, permissions, technical conditions, continuity, stability, and access feasibility defined by those platforms or their providers.
9. Integrations with legacy platforms or platforms without modern APIs
Wilki may integrate with modern external platforms that expose data through APIs, web services, or other structured technical mechanisms, and also with legacy platforms or older systems that do not have modern APIs or formal integration mechanisms.
In the case of legacy platforms, access to data may be carried out through normal user credentials and passwords, executing query, navigation, extraction, or information download tasks automatically, in a manner similar to how an authorized human user would do it, but using Wilki's internal tools.
The customer acknowledges and accepts that integrations with legacy platforms may involve greater technical and operational risk than integrations based on modern APIs, because they depend on the availability, structure, interface, access flows, authentication mechanisms, download formats, and technical conditions defined by third parties.
These external platforms may be modified, modernized, restricted, updated, or replaced by their respective providers or administrators, which could partially or totally affect Wilki's ability to connect, query, extract, or obtain data from such sources.
If a legacy platform modifies its structure, interface, access flow, authentication, permissions, data format, or query mechanism, the integration service with that platform may be affected, degraded, or interrupted until Wilki can evaluate, adapt, or reimplement the corresponding integration.
Wilki will make reasonable efforts to review, adapt, or reimplement the integration when technically feasible and within the commercial scope agreed with the customer. However, Wilki cannot guarantee specific restoration, continuity, or reimplementation timeframes, especially when such changes involve complex development work, depend on third-party information, or exceed the originally contracted scope.
The customer acknowledges that Wilki will not be responsible for interruptions, restrictions, blocks, structural changes, modernizations, access modifications, removal of features, format changes, or any other technical or commercial decision adopted by third parties that affects the connection, reading, or retrieval of data.
10. Technical feasibility of access to external data
The customer understands and accepts that the possibility of accessing, reading, extracting, or synchronizing data from external platforms depends on the technical feasibility available in each case.
Such feasibility may be determined by:
- The existence or absence of APIs, web services, or formal integration mechanisms.
- The availability of valid credentials provided by the customer.
- The permissions associated with such credentials.
- The technical and commercial conditions imposed by the external provider.
- The stability of the external platform.
- The usage, frequency, volume, or query limits defined by third parties.
- Changes to interface, authentication, structure, format, or architecture.
- Security, geographic, contractual, or regulatory restrictions.
Wilki does not guarantee that every external platform can be integrated, nor that an existing integration can be maintained indefinitely if the third party modifies the technical or access conditions.
11. Accuracy of data and results
Wilki processes data from sources authorized by the customer. The accuracy of the results will depend, among other factors, on:
- The quality of the source data.
- The availability and completeness of the connected sources.
- The correct configuration of integrations.
- The consistency of identifiers, products, users, locations, or other entities.
- The timeliness and frequency of data updates.
- The business rules defined by the customer or configured in the platform.
The reports, indicators, alerts, recommendations, or results generated by Wilki may contain errors, omissions, delays, incorrect interpretations, or inconsistencies derived from the source data or applicable configuration.
The customer is responsible for reviewing and validating the information before making relevant decisions.
12. Artificial intelligence, external agents, and customer decisions
Wilki may use artificial intelligence tools, language models, automated agents, conversational assistants, connectors, interoperability protocols, and other technological mechanisms to allow the customer to query, analyze, summarize, or interpret its data.
Among these features, Wilki may integrate with external artificial intelligence tools or agents, such as ChatGPT, Claude, or other similar platforms, including mechanisms such as MCP or other protocols that allow authorized agents to interact with data, reports, metrics, or information available in Wilki.
When the customer enables, configures, or uses this type of integration, the customer acknowledges and accepts that certain information, data, results, queries, metadata, or responses generated by Wilki may be made available to the corresponding artificial intelligence agent or tool, exclusively to allow the analysis, interpretation, generation of insights, executive summaries, responses, recommendations, or decision-support requested by the customer or its authorized users.
Wilki will seek to ensure that access by these external tools or agents is limited to the scope authorized by the customer, the available configurations, and the service's own purposes. However, the customer is responsible for enabling, configuring, authorizing, and using such integrations appropriately, as well as reviewing the policies, terms, and privacy practices applicable to the external artificial intelligence tools it chooses to use.
The customer understands that external artificial intelligence agents may be operated by third parties other than CV Software and Wilki, and therefore their use may be subject to terms, conditions, privacy policies, configurations, technical limitations, and data processing rules of those third parties.
Results generated by artificial intelligence tools, external agents, or automated analyses must be understood as informational, analytical, or operational support, and not as mandatory instructions or as legal, financial, accounting, tax, medical, labor, or specialized professional advice.
The customer always retains final responsibility for its decisions, actions, omissions, internal processes, and business consequences.
Wilki will not be responsible for decisions made exclusively on the basis of automated results without reasonable human review.
13. User accounts and security
The customer is responsible for managing its user accounts, access, passwords, permissions, and roles within Wilki.
The customer must promptly notify Wilki of any unauthorized use, loss of credentials, suspected breach, or incident that may affect account security.
Wilki may suspend or restrict access when it detects suspicious activity, misuse, security risk, contractual breach, or legal requirement.
14. Permitted use
The customer and its users must use Wilki only for lawful, authorized purposes compatible with the contracted service.
It is prohibited to:
- Use Wilki to access data without authorization.
- Upload or process unlawfully obtained data.
- Provide Wilki with credentials obtained without sufficient authorization.
- Attempt to compromise the platform's security.
- Interfere with the normal operation of the service.
- Perform unauthorized reverse engineering.
- Share access with unauthorized persons.
- Use the platform for fraudulent, abusive, illegal purposes or purposes contrary to third-party rights.
- Upload malware, malicious code, or content that may affect systems, data, or infrastructure.
15. Ownership of data
The customer retains ownership or the corresponding rights over its source data.
Wilki does not acquire ownership of the customer's data solely by accessing, copying, storing, or processing it to provide the service.
Wilki retains ownership of its platform, software, code, models, connectors, architecture, designs, interfaces, documentation, methodologies, know-how, algorithms, trademarks, trade names, and other proprietary assets.
16. Derived data and configurations
Reports, indicators, data models, structures, configurations, transformations, rules, dashboards, or analyses generated within Wilki may contain elements derived both from the customer's data and from Wilki's intellectual property and methodology.
The customer may use the generated results for its internal operations, in accordance with the applicable contract.
Unless otherwise agreed, the customer may not copy, resell, sublicense, commercially exploit, publish, or provide to third parties the platform, connectors, methodologies, or proprietary components of Wilki.
17. Fees, plans, and payments
Access to Wilki may be subject to plans, fees, usage limits, costs for integration, data volume, processing frequency, users, storage, features, or additional services.
The specific economic conditions will be established in the commercial proposal, contract, service order, or contracted plan.
Failure to pay may entitle Wilki to suspend, limit, or terminate the service, without prejudice to any collection rights that may apply.
18. Availability and continuity of service
Wilki will seek to maintain reasonable availability of the platform. However, the service may be affected by maintenance, updates, incidents, infrastructure failures, connectivity problems, third-party errors, acts of God, or force majeure.
Wilki may perform scheduled or urgent maintenance when necessary to improve, correct, protect, or secure the platform.
Wilki's availability does not imply a guarantee of permanent availability of the connected external platforms or the data sources authorized by the customer.
19. Support
Wilki may provide technical support according to the contracted plan or specific agreements with the customer.
Support may include assistance with configuration, integrations, errors, platform use, process review, data loads, or technical incidents.
Unless expressly agreed, support does not include strategic consulting, data auditing, custom development, correction of source data, legal, accounting, tax advice, or support for third-party platforms.
The adaptation, reimplementation, or reconstruction of integrations affected by changes in external platforms, especially legacy platforms, may require specific technical and commercial evaluation, and will not be understood as automatically included within standard support unless expressly agreed.
20. Suspension or termination of service
Wilki may suspend or terminate the customer's access in the event of:
- Breach of these terms or the applicable contract.
- Non-payment.
- Misuse or unlawful use of the platform.
- Security risk.
- Legal requirement or requirement from a competent authority.
- Termination of the contracted plan or contract.
- Conduct that may affect other customers, Wilki, or third parties.
- Provision of insecure or unauthorized credentials, or credentials that may compromise the security of Wilki, the customer, or third parties.
The customer may request termination of the service in accordance with the applicable commercial or contractual conditions.
21. Effects of termination
Upon termination of the service, Wilki may disable access, stop integrations, suspend data processes, and delete or retain information in accordance with the Privacy and Data Processing Policy, the retention policy, the applicable contract, and existing legal obligations.
The customer is responsible for exporting or backing up the information it needs before termination, when the platform allows it and within the agreed timeframes.
22. Limitation of liability
To the maximum extent permitted by applicable law, Wilki will not be responsible for:
- Indirect losses, lost profits, loss of opportunities, loss of reputation, or consequential damages.
- Errors arising from incorrect, incomplete, or outdated source data.
- Failures of third-party platforms, APIs, systems, or providers.
- Changes, restrictions, blocks, modernizations, or technical modifications made by external platforms.
- Interruptions or degradation of legacy integrations caused by third-party changes to interfaces, access, authentication, formats, or data structures.
- Decisions made by the customer based on unvalidated reports, alerts, or recommendations.
- Unauthorized access caused by customer negligence, poor credential management, or insecure configurations under the customer's control.
- Customer provision of credentials with permissions beyond what is necessary, including administrative, write, modification, or deletion permissions.
- Force majeure events, acts of God, or events outside Wilki's reasonable control.
When Wilki is liable, such liability will be limited to the amount actually paid by the customer during the period defined in the applicable contract, unless the law requires otherwise.
23. Indemnity
The customer will hold Wilki harmless against claims, damages, penalties, fines, costs, or expenses arising from:
- Data provided or connected without sufficient authorization.
- The customer's breach of data protection, confidentiality, intellectual property, or other applicable laws.
- Misuse of the platform by the customer or its users.
- Commercial or operational decisions made by the customer.
- Infringement of third-party rights caused by the customer's information, credentials, configurations, or instructions.
- Provision of insecure, unauthorized credentials or credentials with permissions beyond what is necessary.
- Breach by the customer of terms, policies, or conditions of use of external platforms.
24. Modifications to the service
Wilki may modify, improve, update, replace, add, or remove features of the platform, seeking not to substantially affect the contracted services without reasonable notice when possible.
Some features may be in beta, experimental, or testing phase, and may change, be suspended, or be removed.
25. Communications
Wilki may communicate with the customer by email, platform, internal notifications, administrative messages, or other reasonable channels.
The customer must keep its contact information updated.
26. Applicable law and jurisdiction
These terms will be governed by the laws of the Republic of Chile, unless the parties expressly agree on another applicable law.
Any dispute will be submitted to the competent courts of Chile or to the dispute resolution mechanism agreed by the parties in writing.
27. Final provisions
If any provision of these terms is declared invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.
Wilki's failure to exercise any right will not constitute a waiver of that right.
These terms, together with the Privacy and Data Processing Policy, contracts, annexes, service orders, and accepted proposals, constitute the applicable framework for the use of Wilki.
